Purpose of the job

Do you have 4+ years of experience working on cross-border M&A transactions in a law firm or inhouse?

Are you excited to support our ambitious M&A pipeline from start to end, long before and after external lawyers are involved?

Are you not scared to work on transactions in exotic geographies, with a wide variety of M&A customs, complexity and challenges?

Can you identify and clearly articulate risks, but are not risk adverse?

Can you draft a corporate document yourself but also effectively manage outside counsel to do it for you?

Can you stand your ground under pressure and can you keep your head cool in the sometimes hectic M&A environment?

Can you independently handle most legal aspects of M&A transactions, but are eager to learn new things every day?

Then you might be the Corporate Counsel M&A we are looking for!

As our new Corporate Counsel M&A, you provide responsive and hands-on legal support in M&A and corporate finance transactions globally. You play an essential role in safeguarding the strategic objectives and interests of AkzoNobel. Individually, or with other members of the Corporate Legal Team, you manage all aspects of M&A and finance transactions from start (target identification, initial contacts) through deal execution (due diligence, transaction documents, negotiations and internal alignment and approvals), to end (the integration).  
 

Key Responsibilities

  • Cooperate with the Corporate M&A team and senior business leaders as their primary legal contact for global corporate transactions
  • Manage and provide pragmatic legal advice, proactively identify potential legal and other risks, formulate risk mitigation strategies and align with senior business leaders up to the company’s Executive Committee
  • Draft, review and negotiate international M&A agreements, including share purchase agreements, asset purchase agreements, TSAs, joint venture and shareholder agreements
  • Manage legal due diligence and support legal integration workstreams
  • Provide support to other corporate functions on treasury, insurance, real estate and pension matters
  • Select and manage outside counsel and related legal spending
  • Continuously improve yourself and others by developing best practices, templates and know-how; learning from others and allowing others to learn from you

What do you bring

Legal Masters Degree (or foreign equivalent) with 4-8 years legal M&A experience at an international law firm or a multinational corporation.

  • Good knowledge of various aspects of corporate law, competition law and commercial contracting; knowledge of banking and finance transactions is plus
  • Extensive experience in cross-border M&A projects, including due diligence and drafting, reviewing and negotiating M&A transaction documents
  • Excellent project management skills
  • Top level analytical, counselling, communication and interpersonal skills with sound legal, ethical and commercial judgment
  • Effective negotiator and facilitator
  • Is capable to handle cross-border M&A transactions independently and in teams
  • Build and maintain relationships with internal and external stakeholders
  • Excellent written and spoken English language skills (Dutch not necessary)
  • Understands financials and the possible financial impact of matters agreed in M&A contracts (e.g. purchase price and earn-out mechanisms)
